A company's legal address in Georgia and how to change it

A company's legal address is data registered in the registry. Letters from the registry and the Revenue Service are sent to it, so when the company moves it must be changed on time. We prepare the documents and register the change.

An entrepreneur's legal address is their physical address in Georgia (Law on Entrepreneurs, Article 5, point 10). It is mandatory data in the founding agreement (Article 5, point 2(b)).

Data in the registry is public (Article 13, point 1), so the legal address is visible to anyone who requests the company's extract.

How the legal address is changed

  • A change of legal address must be registered in the registry (Article 12, point 1).
  • Registration of the change is requested by the person authorised to manage and represent the company, unless the charter provides otherwise (Article 12, point 2).
  • When the founding agreement is changed, a consolidated text of the founding agreement must be submitted together with the text of the change; a defective consolidated text holds up registration (Article 12, point 6).

Why a correct address matters

  • A registry notice is considered delivered when the company reads it, when it is delivered to the legal address, or on the 15th day after it is posted to the electronic address (Article 18, point 1).
  • A written document from the Revenue Service is considered delivered to a company, among other cases, when it is handed to the office at the legal address stated in the registration documents (Tax Code, Article 44, part 7(c)).
  • A branch of a company registered abroad also has its own legal address in Georgia (Law on Entrepreneurs, Article 15, point 5(g)).
