Contract drafting and review in Georgia
A good contract keeps you out of disputes; a bad one causes them. We draft contracts in your interest and review the other side's text before you sign: the risks, deadlines, penalties and what happens if something is not delivered.

A contract is concluded once the parties agree on all essential terms (Civil Code, Article 327). If the law or the parties themselves require a particular form, the contract takes effect only once that form is followed. For example, acquiring real estate requires a written contract and registration of ownership in the Public Registry.
Most problems are visible before signing: vague obligations, missing deadlines, a one-sided right to terminate, an excessive penalty or an unexpected place for resolving disputes. That is why we review a contract before you sign it.
What we check in a contract
- The parties and their authority — who signs and whether they are entitled to
- Subject, price and payment terms — precise and unambiguous
- Deadlines and what happens if they are missed
- Penalties — they must be agreed in writing, and a court reduces an excessive penalty
- Deposit — if the party who paid it breaches the contract, the deposit stays with the recipient
- Termination, force majeure and where disputes are resolved — court or arbitration
Contracts we draft most often
- Real estate sale and preliminary agreements
- Leases — flats, offices, commercial premises
- Loans and guarantees
- Services and works — renovation, construction, IT services

Questions & answers
Is a verbal agreement a contract?
Often — yes, if the law doesn't require a particular form. But a verbal agreement is hard to prove. Real estate, however, can only be acquired with a written contract and registration.
Do I need to have a contract certified by a notary?
Not always. Notarisation is required by law in some cases and useful in others: for example, a debt under a notarised loan agreement can be recovered even without going to court.
How high can a contractual penalty be?
The parties set it freely, but the agreement must be in writing. If the penalty is excessive, a court can reduce it; for loans, the law sets a cap.
Is a contract in English valid?
Yes, a contract can be made in any language. You may need a Georgian translation for the Public Registry or a court, so we often prepare a bilingual text.
